TERMS AND CONDITIONS

1. Acceptance

By accessing or using the website of The North Shore Hispanic Chamber of Commerce of New York (“Chamber”), or by participating in any of the Chamber’s programs, events, or services, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you may not access or use the website or participate in any of the Chamber’s programs, events, or services. 

2. Use of Website

You agree to use the Chamber’s website and all related services for lawful purposes only and in accordance with these Terms and Conditions. You agree not to:

  • Use the website in any manner that could disable, overburden, or impair the server on which the website is hosted or interfere with any other party’s use of the website.
  • Use any automated means, including scripts, robots, crawlers, or spiders, to access, monitor, or copy any part of the website without prior written consent from the Chamber.
  • Use any device, software, or routine to interfere or attempt to interfere with the proper working of the website or any transaction being conducted on the website.
  • Attempt to gain unauthorized access to any portion or feature of the website, other accounts, computer systems, or networks connected to the website, through hacking, password mining, or any other means.  
  • Use the website for any illegal or unauthorized purpose, including without limitation, to transmit any material that encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national, or international law. 
     

3. Membership

Membership in the Chamber is subject to approval by the Chamber’s Board of Directors. Membership dues are payable in advance as determined by the Board of Directors. The Chamber reserves the right to suspend or terminate a member’s membership for any reason, including but not limited to violation of these Terms and Conditions or non-payment of dues.

4. Events

Registration for Chamber events may be subject to separate terms and conditions. By registering for an event, you agree to abide by the specific terms and conditions applicable to that event.

5. Intellectual Property

The website and all content included on the website, such as text, graphics, logos, images, and software, are the property of the Chamber or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any content from the website for any commercial purpose without the prior written consent of the Chamber.

6. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT ON THE WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE CHAMBER DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

IN NO EVENT SHALL THE CHAMBER BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE WEBSITE OR WITH THE DELAY OR INABILITY TO USE THE WEBSITE, OR FOR ANY INFORMATION, PRODUCTS, OR SERVICES OBTAINED THROUGH THE WEBSITE, EVEN IF THE CHAMBER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify and hold harmless the Chamber, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses, including attorneys’ fees, arising out of or in any way connected with your use of the website or your violation of these Terms and Conditions.

 

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

 

10. Severability

If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

The Chamber reserves the right to modify these Terms and Conditions at any time without prior notice. Your continued use of the website or participation in any of the Chamber’s programs, events, or services following the posting of any changes to these Terms and Conditions constitutes acceptance of those changes.
